1. Introduction

Welcome to LearnWithUs. These Terms & Conditions ("Terms") set out the rules for using our website, our credits system, our digital E-Learning Materials and the related services (together, the "Platform"), which are operated by [Company Name] ("Company", "we", "our" or "us").

The Platform provides digital E-Learning Materials for self-paced study. Materials are delivered by email and are also available in your Account. There are no fixed dates, nothing to attend and no timetable to follow: you read and work through each Material on your own, at your own pace.

By creating an Account, buying Credits, using Credits to unlock E-Learning Materials or otherwise using the Platform, you confirm that you have read, understood and accepted these Terms. If you do not agree with them, please do not use the Platform or buy Credits.

2. Definitions

The following words have the meanings given below wherever they appear in these Terms.

"Account": the personal user account you create to use the Platform, buy Credits and unlock E-Learning Materials
"Credits": the digital units you buy with money and spend to unlock levels of E-Learning Materials on the Platform
"Bonus Credits": additional Credits added to certain Credit purchases without an extra payment
"E-Learning Materials" or "Materials": the digital study materials, including text, images, files and other content, that you read and work through on your own after unlocking them
"Skill Level": one of the levels into which a Material is divided, such as Beginner, Intermediate, Advanced or Expert
"User", "you" or "your": any person who visits the Platform, creates an Account, buys Credits or unlocks Materials

3. Eligibility

To use the Platform and buy Credits, you must have the legal capacity to enter into a binding agreement under the laws that apply to you.

All information you give us must be accurate, complete and kept up to date
If you use the Platform on behalf of a company or organisation, you confirm that you are authorised to accept these Terms for it

4. Account Registration & Security

You need an Account to buy Credits and unlock E-Learning Materials. Your Account is personal to you, and you are responsible for what happens in it.

As an Account holder, you agree to:

Provide accurate and up-to-date registration details
Keep your password and login details secure and confidential
Not share, sell or transfer your Account to anyone else
Tell us promptly if you suspect unauthorised access to your Account
Accept responsibility for all activity carried out through your Account

We may suspend or close an Account that contains false information, is misused or is involved in a breach of these Terms.

5. E-Learning Materials & Skill Levels

The Platform offers digital E-Learning Materials organised into categories. Each Material is divided into Skill Levels, and each level is unlocked separately with Credits. The title, description, Skill Levels and Credit price of every Material are shown on its page before you unlock it.

Depending on the Material, the available Skill Levels may include:

Beginner: introduces the core ideas, key terms and basic methods of the subject
Intermediate: builds on the basics with more detailed techniques and practical application
Advanced: covers more complex situations and the combination of several techniques
Expert: covers the most in-depth and specialised topics available for the subject

You are responsible for choosing the Material and Skill Level that suit your current knowledge and goals. We may add, change or remove Materials, categories and Skill Levels from time to time, and we do not guarantee that any particular Material will remain available.

6. Credits

Credits are the way E-Learning Materials are unlocked on the Platform. You buy Credits with money, and they are added to your Account once your payment is confirmed.

Credits:

Are digital units intended only for use on the Platform
Are used to unlock levels of E-Learning Materials, and are deducted from your balance when you confirm an unlock
Have no cash value outside the Platform and cannot be exchanged for cash
Cannot be withdrawn or transferred to a bank account
Cannot be sold, assigned or transferred to another User or Account
Have a validity period of 90 days from date of purchase

Credits that are not used within their 90 day validity period expire and are removed from your balance. We may change Credit prices or the number of Credits required for a Material from time to time, but a change never affects a transaction that has already been completed.

7. Purchase of Credits

Credits are bought in packages on the Buy Credits page and paid for at checkout.

The available Credit packages and their prices are shown before you pay
You agree to provide complete and accurate billing and payment details at checkout
You authorise us and our payment provider to charge the price of the package you choose
An order is confirmed only after the payment has been successfully completed
Buying Credits does not by itself unlock any E-Learning Material: you choose what to unlock afterwards
The bonus that applies to larger single purchases is shown on the Buy Credits page

When you purchase credits from our website, your billing description will be shown as

We may change, suspend or withdraw individual Credit packages or bonus offers at any time. Any change applies only to purchases made after it takes effect.

8. Bonus Credits

Some Credit packages include Bonus Credits. Bonus Credits are added to your Account together with the Credits you paid for, and the amount for each package is shown before you pay.

Unless we state otherwise when they are issued, Bonus Credits:

Have no cash value and cannot be exchanged for cash
Are non-refundable
Cannot be sold, assigned or transferred to another Account
Can only be used to unlock levels of E-Learning Materials on the Platform
Follow the same 90 day validity period as the Credits they were issued with

If a Credit purchase is refunded, reversed or found to be fraudulent, the Bonus Credits issued with it may be removed from your Account, and they will not be refunded or converted into money.

9. Using Credits to Unlock E-Learning Materials

When your balance holds enough Credits, you can unlock any available level of an E-Learning Material. Before you confirm, please check:

The title and description of the E-Learning Material
The Skill Level you are about to unlock
The number of Credits the level requires
Your current Credit balance

When you confirm, the required Credits are deducted from your balance. Unlocking a level gives you a limited, personal, non-exclusive and non-transferable right to use that Material for your own non-commercial learning, in line with these Terms.

10. Delivery & Access to E-Learning Materials

After payment is confirmed, the download link and access details for your E-Learning Materials are sent to the email address you gave at checkout, and the Materials are also available in your Account.

Delivery is typically within 24 hours of successful payment confirmation
If the system is delayed, please allow up to 48 to 72 hours
If nothing has arrived after 72 hours, please contact us at admin@learn-withus.com
Materials are for self-paced reading and study: there is nothing to attend and no live teaching

Opening Materials may require a compatible device, an up-to-date browser and an internet connection. The full delivery process is explained in our Delivery & Access Policy.

11. Pricing, Currencies & Payment

Credit prices are shown on the Platform before you pay. You can view prices and pay in any of the following currencies:

US Dollar (USD)
Japanese Yen (JPY)
Malaysian Ringgit (MYR)

The price shown at checkout, in the currency you have selected, is the price that applies to your order.

Your bank, card issuer or payment provider may charge its own fees, taxes or currency conversion costs, which are outside our control
Prices may change from time to time, but a change never affects an order that has already been completed

12. Intellectual Property

All E-Learning Materials and other content on the Platform, including text, images, illustrations, designs, files, logos and layouts, belong to us or to their rightful owners and are protected by intellectual property laws.

Unlocking a Material gives you a personal right to use it for your own learning, not ownership of it
No intellectual property rights are transferred to you by buying Credits or unlocking Materials

13. Acceptable Use

We want the Platform to be a reliable place to learn. When using it, you agree to:

Use the Platform and the E-Learning Materials lawfully and respectfully
Use the Materials you unlock for your own personal learning only
Follow any instructions provided with the Materials

14. Prohibited Activities

To protect the Platform, its content and other Users, you must not:

Copy, share, resell, publish or redistribute E-Learning Materials, or upload them to another website or file-sharing service
Modify Materials or create derivative works from them for distribution
Remove copyright, trademark or other ownership notices
Share your Account or access another User's Account
Try to bypass payment, Credit or access controls
Make fraudulent purchases or chargebacks, or obtain Credits by deceptive means
Introduce viruses or harmful code, or interfere with the security or operation of the Platform
Use the Platform in a way that breaks any law or infringes anyone's rights

If we reasonably believe that a prohibited activity has taken place, we may restrict, suspend or close the Account involved.

15. Refunds & Cancellations

Because Credits and E-Learning Materials are digital products, refunds are not automatic. Each request is reviewed individually, in line with our Refund Policy and applicable law. In summary:

Completed Credit purchases are generally non-refundable, except where we made an error or the law requires a refund
Credits already used to unlock E-Learning Materials, and Credits that have passed their 90 day validity, are non-refundable
Bonus Credits are non-refundable and are not included in any refunded amount
Duplicate payments, incorrect charges and technical problems that stop you accessing a Material can be reviewed

16. Accuracy of Information

We make reasonable efforts to keep the information on the Platform accurate and current. However, we cannot guarantee that every description, price or technical detail will always be complete or free of errors, and we may correct mistakes at any time without prior notice.

17. Educational Disclaimer

E-Learning Materials are provided for general educational purposes. You are responsible for deciding how to apply what you learn.

The Materials are not professional advice of any kind
We do not guarantee any particular personal, professional, academic or financial result from using them
No certificate, qualification or accreditation is issued for unlocking or reading a Material

18. Third-Party Services

The Platform may link to, or rely on, services provided by third parties, such as payment providers. We do not control these services and are not responsible for their availability, content or practices. Your use of them is governed by their own terms and policies.

19. Website Availability

We aim to keep the Platform available at all times, but uninterrupted or error-free operation cannot be guaranteed. The Platform may be temporarily unavailable because of:

Planned or emergency maintenance
Technical problems or system upgrades
Security incidents or network failures
Interruptions to third-party services
Events beyond our reasonable control

Except where the law requires otherwise, we are not responsible for losses caused only by temporary unavailability of the Platform.

20. Suspension & Termination

We may suspend or close your Account, or restrict your access to the Platform or to E-Learning Materials, if:

You break these Terms
You carry out fraudulent, abusive or unauthorised activity
Your Account is used to copy, share or misuse Materials
Your use of the Platform creates a security or operational risk
We are required to do so by law or by a competent authority

When an Account is closed, the rights given to you under these Terms end. Sections that by their nature should continue, such as intellectual property, limitation of liability and indemnification, remain in effect.

21. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform and E-Learning Materials are provided "as is" and "as available". We do not promise that:

The Platform will always be available or free of errors
The Materials will meet your particular needs or be suitable for a specific purpose
Information in the Materials will always be complete or up to date

Nothing in these Terms removes any consumer right that cannot lawfully be excluded.

22. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses arising from:

Your use of, or inability to use, the Platform
Your reliance on the content of E-Learning Materials
Loss of data, or unauthorised access to your Account caused by a failure to protect your login details
Services provided by third parties, including payment providers

Where liability cannot be excluded, our total liability for any claim is limited to the amount you actually paid for the specific transaction that gave rise to it. Nothing in these Terms limits liability that cannot be limited by law.

23. Indemnification

You agree to compensate the Company, its owners, employees and service providers for claims, losses and costs that arise from:

Your breach of these Terms
Your misuse of the Platform or the E-Learning Materials
Your breach of any law or of another person's rights

24. Privacy

We handle your personal information as described in our Privacy Policy, which forms part of these Terms. Please read it to understand what we collect and why.

25. Changes to the Website and These Terms

We may update the Platform, including its categories, E-Learning Materials, Skill Levels, Credit packages, prices and features. We may also revise these Terms when necessary.

The version of these Terms published on this page is always the one that applies
Continuing to use the Platform after a change takes effect means you accept the revised Terms, to the extent the law allows

26. Governing Law

These Terms are governed by the laws of Hong Kong, without affecting any mandatory consumer protections that apply to you. Any dispute relating to these Terms or the Platform will be handled by the competent courts in accordance with applicable law.

27. Severability

If any part of these Terms is found to be invalid or unenforceable, that part will be adjusted or removed only as far as necessary, and the rest of these Terms will remain in full effect.

28. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy and Delivery & Access Policy, form the entire agreement between you and us about your use of the Platform and your purchase of Credits and E-Learning Materials.
